Terms of Service

1. Introduction

Welcome to Noctua ("we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of the Noctua website, application, and services available at noctua.uno and app.noctua.uno (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Description of the Service

Noctua allows you to convert web articles and other text content into audio podcast episodes delivered through a personal RSS feed. The Service uses AI-powered text-to-speech technology to generate audio from content you submit.

3. Eligibility

You must be at least 16 years old to use the Service. By using Noctua, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Accounts

To use the Service, you must create an account. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security of your account credentials
• All activity that occurs under your account

You must notify us immediately at bubo@noctua.uno if you suspect any unauthorised use of your account.

5. Credits and Payment

Noctua operates on a credit-based system:

• New accounts receive a limited number of free credits
• Each article conversion consumes credits based on the length and complexity of the content
• Additional credits may be purchased through the Service
• Credits are non-transferable and have no cash value
• Unused free credits may expire; purchased credits do not expire

All purchases are final. Refunds may be issued at our sole discretion in exceptional circumstances. Prices are displayed inclusive of applicable taxes.

6. Acceptable Use

You agree not to use the Service to:

• Convert content you do not have the right to access or reproduce
• Distribute, publicly perform, or commercially exploit the generated audio beyond personal use
• Circumvent any technical limitations or access controls
• Submit content that is unlawful, harmful, threatening, abusive, or otherwise objectionable
• Interfere with or disrupt the Service or its infrastructure
• Create multiple accounts to abuse free credit allocations
• Use automated tools to access the Service without our written permission

7. Intellectual Property

Your content: You retain all rights to the articles and text you submit. By submitting content, you grant us a limited licence to process it solely for the purpose of generating your audio episodes.

Generated audio: The audio files generated by the Service are for your personal, non-commercial use. You may not redistribute, broadcast, or commercially exploit them.

Our service: Noctua, its design, features, and underlying technology are owned by us and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding.

8. Content Responsibility

You are solely responsible for the content you submit to the Service. We do not review, endorse, or take responsibility for third-party content that you choose to convert. You must ensure you have the right to access and convert any content you submit.

9. Service Availability

We strive to keep the Service available at all times, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will endeavour to provide reasonable notice of planned downtime.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied
• We do not warrant that the Service will be error-free, secure, or uninterrupted
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Our total liability shall not exceed the amount you have paid us in the twelve (12) months preceding the claim

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

11. Termination

You may close your account at any time by contacting us at bubo@noctua.uno.

We may suspend or terminate your account if you breach these Terms, misuse the Service, or for any other reason at our reasonable discretion, with notice where practicable.

Upon termination, your right to use the Service ceases immediately. Your podcast feed will stop updating, and generated audio may be deleted after a reasonable period.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the effective date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Ireland and applicable European Union law. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Ireland, without prejudice to any mandatory consumer protection provisions in your country of residence.
